1. Our Services

Codezora provides custom web development (including WordPress, Shopify, and Webflow), app development, SaaS product development, AI automation, and 360° digital marketing services. The specific scope, deliverables, timeline, and pricing for any project will be confirmed in a separate proposal or Service Agreement, which will govern that project alongside these Terms.

2. Quotes & Proposals

Quotes shared via our website or in initial conversations are estimates and are not binding until confirmed in a formal proposal. Final pricing may change based on project scope, revisions, or requirements identified during discovery.

3. Payment Terms

• Payment terms (advance amount, milestones, currency, due dates) are specified in the proposal or invoice for each project.
• International clients may pay in USD, GBP, AED, or other agreed currencies.
• Work may be paused for overdue payments.
• Fees are exclusive of applicable taxes unless stated otherwise.

4. Refunds & Cancellations

Advance payments are non-refundable once work has started, unless agreed otherwise in writing. If a client cancels an ongoing project, payment is due for all work completed up to that point. Full refund and cancellation terms are included in each project's Service Agreement.

5. Intellectual Property

Once a project is paid in full, ownership of the final deliverables (custom code, designs, and content built specifically for you) transfers to you. Codezora retains rights to any pre-existing tools, frameworks, and internal methods used to deliver the work. Unless you request confidentiality in writing, we may showcase completed projects in our portfolio and marketing materials.

6. Client Responsibilities

You agree to provide timely feedback, content, access, and approvals needed for your project. Delays in providing these may extend project timelines, without liability to Codezora.

7. Confidentiality

We keep project and business information you share with us confidential. A separate NDA can be signed before detailed discussions if required.

8. Limitation of Liability

We aim to deliver high-quality work but do not guarantee specific business results (such as traffic, sales, or rankings).

Our total liability for any claim related to a project is limited to the total fees paid for that project. We are not liable for indirect or consequential losses, including loss of profits or data.

9. Post-Launch Support

Bug fixes and support after launch are covered only for the warranty period stated in your Service Agreement (if any). Ongoing maintenance is available as a separate paid service.

10. Third-Party Services

Our work may involve third-party platforms (hosting, payment gateways, AI/LLM APIs, marketing tools). We are not responsible for outages or changes made by these providers, but will assist in resolving related issues where possible.

11. Governing Law

These Terms are governed by the laws of India, unless a different governing law is agreed in writing for a specific international client engagement.

12. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date above will reflect the latest revision. Continued use of our website or Services means you accept the updated Terms.
